Service Details: Non-Profit Registration Service
Dominion General Counsel PC’s details (“Service Details”) for the Foreign Non-Profit, Non-Stock Corporation Registration Service are the following:
1. Service. The Service is a Business Service where:
- DGC uses the information provided by Customer to prepare and file the Customer’s registration application with the SCC (called an “Application for a Certificate of Authority to Transact Business in Virginia as a Foreign Corporation”).

Certified articles
- If requested by Customer and if the entity’s incorporation jurisdiction is a US state, then DGC will also obtain the entity’s certified articles from the entity’s incorporation jurisdiction upon payment of the related fees.

** Applicable if Customer also selects annual registered agent service. See Service Details.
2. Registered Agent Service. If Customer has also acquired Annual Registered Agent Service as part of the transaction, then the Service Details for Annual Registered Agent Service will also apply. Please review.
3. Fees and Expenses. DGC’s fee and reimbursable expenses to provide the Service are provided on the Website.
4. Certified Articles.
a. Customer will obtain a copy of the entity’s articles of incorporation and each articles amendment or correction. Each document will contain an original certification issued by from the secretary of state or official public custodian responsible for authenticating corporate records in the jurisdiction of incorporation that each document is a “true and correct copy” of the official filed records, or words to that effect. Customer will provide each required document o DGC.
b. If requested by Customer and if the entity’s incorporation jurisdiction is a US state, then DGC will also submit a request to obtain the entity’s certified documents upon payment of the related fees. However, DGC’s ability to obtain the required records on behalf of Customer is conditioned upon the official custodian of records providing the entity’s records. DGC will use it reasonable and customary efforts to obtain records.
5. Name. Customer will provide the entity’s name. The name must comply with the rules of the Virginia State Corporation Commission. The entity name must be distinguishable upon the records of the SCC from the names of all currently active entities. If another company already uses the same or similar entity name or if the proposed entity name is not permitted by the SCC, then DGC will contact Customer so Customer can provide a revised “designated name.” DGC will repeat this process until the SCC approves the Customer’s revised registration name

6. Schedule. Upon submission of the Service setup information by Customer, full payment of the Service and the providing of the required certified document from Customer to DGC, DGC will use its reasonable efforts to provide the Service per the following schedule. However, this schedule is an estimate for planning purposes and is not guaranteed.
a. Customer will complete the online setup form.
b. Customer will provide DGC with the entity’s certified documents by US mail or courier.
c. DGC will complete the registration application within three business days after receipt of the certified document(s) and will then mail the application to the SCC by mail or courier.
d. If the SCC accept the registration application, then the SCC will forward DGC the entity’s “certificate of authority” to conduct business in Virginia.
e. Once DGC receives the certificate of authority from the SCC, then DGC will provide the entity with the certificate and the remaining document package within three business days.
f. A business day means Monday through Friday except for any US bank or Virginia state holiday. One business day means 24 hours from the time of purchase.
g. Exceptions: subject to potential delays identified in Customer Agreement.
7. Other. If Customer hires DGC to obtain the required records, then DGC will contact Customer after checkout. First, DGC will determine the number of the entity’s article amendments or corrections, if any, and then the amount of the government certification fee charged by the jurisdiction of incorporation. DGC will submit an invoice to Customer once DGC determine these sums. Upon payment of the DGC fee and the government certification fees by Customer, DGC will order the certified records.
8. Customer Agreement. Theses Service Details are incorporated into and made part of the Customer Agreement.
