The setup form will ask you about the following information (some required and some optional).

SETUP: ENTITY FORMATION
Step 1: You provide your formation details
Step 2: We create and file your articles
Step 3: Virginia sends us your certificate
Step 4: We create a document package for you
Step 5: We serve as your registered agent (Optional)

Corporation Setup

We need the following to prepare your articles, bylaws, shareholder ledger and other formation documents:

  • Entity name (required).
  • Principal address (required).
  • Registered agent selection (required) – formation fee is reduced if you select us as your agent.
  • Each member (optional) – name, address, ownership percentage, investment contribution for each initial member.
  • Operational limits (optional) – any limits on the business activities; typically, no limits are imposed.
  • Management type (optional) – member-managed vs manager-managed.
  • Each manager (optional if manager-managed) – name of each manager.
  • Fiscal year (optional) – typically, Jan 1 to Dec 31.
  • Primary contact person – name, title, email, phone and postal address.
  • Additional contact emails (if we are your registered agent).
  • Email preference – how you want us to send your documents (standard email, encryption, Client Center).

Non-Profit Setup

We need the following to prepare your articles, bylaws, conflict of interest policy and other formation documents:

  • Entity name (required).
  • Principal address (required).
  • Registered agent selection (required) – formation fee is reduced if you select us as your agent.
  • Members (required) – whether the organization will have members or not, and if so, the qualifications and rights of membership.
  • Director elections (required) – how the organization will appoint or elect directors.
  • Purpose statement (optional) – a description of the non-profit purpose.
  • Operational limits (optional) – any limits on the business activities; typically, no limits are imposed.
  • Fiscal year (optional) – typically, Jan 1 to Dec 31.
  • Annual director meeting date (optional) - typically, the month before your incorporation date.
  • Annual members meeting date (if members, optional) – typically, the same month as your annual directors meeting.
  • Each director (optional) – name and address for each initial director. Each officer (optional) – name, address and position for each initial officer.
  • Primary contact person – name, title, email, phone and postal address. Additional contact emails (if we are your registered agent).
  • Email preference – how you want us to send your documents (standard email, encryption, Client Center).
