WHAT DO I NEED?
The setup form will ask you about the following information (some required and some optional).
SETUP: ENTITY REGISTRATION
Step 1: You provide your details
Step 2: You send us your certified articles*
Step 3: We create and file your registration
Step 4: Virginia sends us your certificate
Step 5: We create a document package for you
Step 6: We serve as your registered agent (Optional)
Corporation Registration
We need the following to prepare your registration application:
- Entity name (required).
- Principal address (required).
- Incorporation date (required).
- Entity duration (required) – duration established in the articles.
- Prior Virginia registration (required) – if the entity previously registered in Va, then for each registration the registered name, the entity’s type (if different from the current type), the state or other jurisdiction of incorporation (if different than the current jurisdiction) and the SCC identification number.
- Registered agent selection (required) – formation fee is reduced if you select us as your agent.
- Certified articles – a copy the entity’s articles of incorporation, and each article amendment and correction, containing an original certification of authentication by the secretary of state (or the official public custodian responsible for authenticating corporate records) in the incorporation jurisdiction. Note: Customer will have the option to hire DGC to obtain these certified documents.
- Primary contact person – name, title, email, phone and postal address.
- Additional contact emails (if we are your registered agent).
- Email preference – how you want us to send your documents (standard email, encryption, Client Center).
- Authorized shares (required) – the total number of authorized shares per the articles.
- Stock classes (required) – the number of separate stock classes per the articles, and for each class, the class name and number of authorized shares per class.
- Board of directors – the name and address for each director.
- Officers – the name, address and position title for each officer.
LLC Registration
We need the following to prepare your registration application:
- Entity name (required).
- Principal address (required).
- Incorporation date (required).
- Entity duration (required) – duration established in the articles.
